BayanListening for macOS

Effective: June 3, 2026

1. Acceptance of Terms

By downloading, installing, or using BayanListening (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

2. Description of Service

BayanListening is a macOS application that provides:

• Video playback with dual subtitle support
• AI-powered transcription of audio and video content
• AI chat for discussing video content
• Note-taking with rich text and multimedia attachments
• Automatic highlight detection and chapter analysis
• Cloud synchronization across devices (opt-in)

The App requires an internet connection for transcription, AI chat, and cloud sync features. Basic video playback and local note-taking work offline.

3. Your Account

Cloud Sync and certain features require you to sign in with your Apple ID. You are responsible for:

• Maintaining the security of your Apple ID credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

4. User Content

You retain all rights to content you create or upload while using BayanListening, including but not limited to:

• Videos, audio files, and other media you open or sync
• Transcription results derived from your content
• Notes, annotations, and highlights you create
• Chat messages you send to the AI

We do not claim ownership of your content. Your content is processed solely to provide the services you requested (transcription, AI analysis, cloud sync).

4.1 AI-Generated Content

AI chat responses, highlight suggestions, and chapter analyses are generated by artificial intelligence and are provided “as is”. We do not guarantee the accuracy, completeness, or usefulness of AI-generated content. You should independently verify any information provided by AI features.

5. Acceptable Use

You agree not to use BayanListening to:

• Transcribe or analyze content you do not have the right to process
• Violate any applicable laws or regulations
• Attempt to overwhelm or disrupt our servers or services
• Use the service for any purpose that is unlawful or prohibited by these Terms
• Reverse engineer, decompile, or disassemble the App
• Share your account credentials with others

6. Service Availability

We strive to provide continuous availability but do not guarantee that the service will be uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue any part of the service with reasonable notice.

Scheduled maintenance will be performed with advance notice when possible. The App’s core local features (video playback, note-taking) remain available without internet.

7. Data Processing

Our handling of your data is described in detail in our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you also agree to our Privacy Policy.

8. Intellectual Property

The App, including its original content, features, and functionality, is owned by BayanListening and is protected by international copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the App will be accurate or reliable
• Any errors in the App will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAYANLISTENING OR ITS FOUNDERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless BayanListening and its founders, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the App or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the “Effective” date at the top of this page and, for significant changes, through a prominent notice in the App. Your continued use of the App after any changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BayanListening regarding the use of the App.
